1. Scope of Services
- MetaNxt Solutions Pvt. Ltd. specializes in website development, design, digital marketing, and consulting services.
- Specific deliverables, project timelines, and other details will be outlined in individual agreements or proposals before project initiation.
- Additional services requested outside the agreed scope may incur extra charges.
2. Engagement and Responsibilities
- Client Responsibilities: You agree to provide all necessary information, approvals, and assets (e.g., logos, brand guidelines) on time to allow us to meet project deadlines.
- Company Responsibilities: We agree to perform our services with reasonable skill, care, and diligence, following industry standards to deliver quality outcomes.
3. Fees and Payment Terms
- All fees will be outlined in the project proposal, quotation, or invoice.
- Payment terms:
- Upfront Payment: A deposit of upto 50% is required before the commencement of the project.
- Milestone Payments: As agreed upon in the project proposal.
- Final Payment: To be made upon project completion and before final handover.
- Late payments may incur additional fees, including interest charges or suspension of services until payment is received.
4. Revisions and Modifications
- We provide up to [insert number] rounds of revisions as outlined in the initial agreement.
- Additional revisions or major modifications requested beyond the agreed rounds may incur extra fees.

5. Intellectual Property and Licensing

- Deliverables Ownership: Upon final payment, you receive ownership of the final deliverables.
- Usage Rights: Any third-party software, stock images, or licensed materials used in the project may have usage limitations based on their licensing agreements.
6. Confidentiality
- Both parties agree to maintain confidentiality regarding all proprietary or sensitive information shared during the project.
- Information shall not be disclosed to any third parties without prior written consent, except where required by law.
7. Limitation of Liability
- MetaNxt Solutions Pvt. Ltd. is not liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services, including but not limited to loss of business or data.
- Our total liability under this agreement is limited to the amount you paid for the project in question.
8. Termination of Agreement
- By Client: You may terminate this agreement at any time, subject to payment of any work completed up to the termination date.
- By Company: We reserve the right to terminate this agreement if you fail to comply with these terms or fail to make required payments on time.
- Upon termination, all work in progress and deliverables shall be considered halted unless agreed otherwise in writing.
9. Warranties and Disclaimers
- We make no warranties regarding the specific results of our services, including but not limited to search engine rankings, audience engagement, or lead generation.
- We disclaim any responsibility for third-party products, platforms, or services used in conjunction with the deliverables.
10. Governing Law and Dispute Resolution
- These terms shall be governed by the laws of India.
- Any disputes arising from this agreement shall be resolved through as mediation or arbitration, conducted in India Jurisdiction.
11. Amendments
- We reserve the right to amend these Terms and Conditions at any time. Notice of amendments will be provided to you, and your continued use of our services after such amendments constitutes acceptance.
12. Acceptance of Terms
- By engaging with MetaNxt Solutions Pvt. Ltd., you confirm your understanding and acceptance of these terms and conditions.
